1.   SUBJECT OF THE CONTRACT<\/b><\/p>\n<\/td>\n<\/tr>\n

1.1.      Transportatorul se oblig\u0103 s\u0103 presteze serviciile necesare \u00een deplin\u0103 conformitate cu cerin\u021bele (instruc\u021biunile) Clientului, at\u00e2t cele men\u021bionate \u00een Cererile Clientului, c\u00e2t \u0219i alte instruc\u021biuni scrise primite de c\u0103tre Transportator \u00een cursul transportului de m\u0103rfuri, iar Clientul se oblig\u0103 s\u0103 pl\u0103teasc\u0103 Transportatorului remunera\u021bia \u0219i compensarea convenit\u0103 a cheltuielilor legate de obiectul Contractului.<\/td>\n1.1.      The Forwarder undertake to execute necessary services completely meeting the requirements (orders) of the Customer, both specified in the Customers Orders and other written instructions received by the Forwarder during  the shipment  and the Customer is obliged to pay to the Forwarder the commissions and coordinated refund of charges connected with the subject of the Contract.<\/td>\n<\/tr>\n

The quantity of pallets may be vary in different Orders for forwarding without violating the limits in max loading of  transport means.<\/td>\n<\/tr>\n

2.1.      The Customer is obliged to submit the Order for shipment to the forwarder.<\/td>\n<\/tr>\n

    1. Cererea trebuie s\u0103 con\u021bin\u0103 toate condi\u021biile esen\u021biale ale transportului care urmeaz\u0103 s\u0103 fie efectuat. Transportatorul este obligat s\u0103 confirme \u00een scris, prin fax, acceptarea comenzii \u0219i s\u0103 informeze clientul cu privire la vehicul \u0219i \u0219ofer \u00een cel mult o zi lucr\u0103toare de la primirea comenzii..<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<\/td>\n
2.2.      The Order shall be provided with the all main conditions of the forthcoming shipment. The Forwarder is obliged to acknowledge the receipt of the Order in a written form by fax and notify the Customer of the transport mean and the driver within one working day from the moment of the Order receipt at the latest.<\/td>\n<\/tr>\n

    1. Acceptarea m\u0103rfii de c\u0103tre Transportator la Client \u0219i livrarea c\u0103tre persoana autorizat\u0103 s\u0103 primeasc\u0103 marfa (destinatar) se face pe baza criteriului num\u0103rului de locuri de \u00eenc\u0103rcare, precum \u0219i \u00een func\u021bie de   cu formularul de cerere al clientului \u0219i CMR<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<\/td>\n
2.3.      The cargo acceptance by the Forwarder from the Customer as well as its handing in to the person being authorized for cargo receipt (consignee) are performed according to the quantity of the loading cases, and also in accordance with the Customer\u2019s Order and CMR.<\/td>\n<\/tr>\n
2.4.Transportatorul evalueaz\u0103 starea ambalajului, controleaz\u0103 corectitudinea stivuirii \u0219i fix\u0103rii m\u0103rfurilor \u00een vehicul. Transportatorul indic\u0103 expeditorului observa\u021biile sale privind ambalajul, stivuirea \u0219i fixarea m\u0103rfurilor \u0219i, \u00een cazul \u00een care expeditorul refuz\u0103 s\u0103 corecteze aceste observa\u021bii, le men\u021bioneaz\u0103 \u00een documentele de livrare..<\/td>\n2.4.The Forwarder is obliged to estimate the packing condition, check the cargo stowage and fastening in the transport. <\/b>The Forwarder is to give his remarks as for packing , stowage and cargo fastening and in case of refusal of the consignor is to remedy the remarks, to state in the shipping documents.<\/td>\n<\/tr>\n
2.5.Transportatorul trebuie s\u0103 efectueze transportul \u00een mod corespunz\u0103tor (la timp \u0219i f\u0103r\u0103 daune) \u0219i \u00een conformitate cu instruc\u021biunile clientului. \u00cen cazul angaj\u0103rii unor ter\u021bi pentru \u00eendeplinirea obliga\u021biilor prev\u0103zute \u00een Contract, Transportatorul este r\u0103spunz\u0103tor pentru ac\u021biunile ter\u021bilor ca \u0219i cum ar fi ale sale. \u00cen momentul livr\u0103rii m\u0103rfii, \u00een cazul \u00een care destinatarul descoper\u0103 lipsuri sau deterior\u0103ri ale m\u0103rfii, se \u00eentocme\u0219te o declara\u021bie. \u00cen cazul \u00een care pierderea, lipsa sau deteriorarea \u00eenc\u0103rc\u0103turii nu a putut fi detectat\u0103 \u00een timpul accept\u0103rii \u00eenc\u0103rc\u0103turii \u00een mod obi\u0219nuit, un astfel de act poate fi compus unilateral de c\u0103tre client \u00een termen de cel mult 7 zile calendaristice de la acceptarea \u00eenc\u0103rc\u0103turii. Data notific\u0103rii  se consider\u0103 a fi data primirii de c\u0103tre transportator a unei astfel de declara\u021bii..<\/td>\n2.5.The Forwarder is obliged to perform the shipment in a proper way (in time and without damages) and in accordance with The Customer\u2019s instructions. At involving the third Parties to execute the obligations under the Contract, the Forwarder is responsible for the actions of the third Parties as for his own. Should the Consignee finds out short delivery or cargo damages an appropriate report is to be made up. In case if loss, shortage or damage of the cargo couldn\u2019t be adjudged by common way while accepting the cargo, such act could be made unilaterally by The Customer not later then 7 calendar days from the date of acceptance of the cargo. The date of the receipt of such act by The Forwarder is the date of notification.<\/td>\n<\/tr>\n

3.PROCEDURA DE PLAT\u0102<\/b><\/td>\n\n

3.   TERMS OF PAYMENT<\/b><\/p>\n<\/td>\n<\/tr>\n

3.1.Costul transportului este convenit de c\u0103tre p\u0103r\u021bi \u00een formularul de cerere..<\/td>\n3.1.      The Cost of transportation is agreed by the Parties in the Order.<\/td>\n<\/tr>\n
3.2.Toate cre\u0219terile de tarife trebuie s\u0103 fie convenite \u00eentre Client \u0219i Transportator cu cel pu\u021bin 7 zile lucr\u0103toare \u00eenainte ca aceste modific\u0103ri s\u0103 intre \u00een vigoare.<\/td>\n3.2.      All increases in rates should be coordinated between the Customer and the Forwarder not later than 7 working days prior to such changes come into force.<\/td>\n<\/tr>\n
3.3. Taxele de v\u0103muire, taxele de supra\u00eenc\u0103rcare \u0219i taxele de tranzit majorate aferente  taxe,  convoi, plata costurilor pentru m\u0103rfurile supradimensionate,  proceduri suplimentare, scrisori de garan\u021bie etc. legate de  prelucrate  marf\u0103  sunt responsabilitatea  Client  \u0219i sunt pl\u0103tite \u00een plus fa\u021b\u0103 de  costuri  specificate \u00een contractul de aplicare  transportul de marf\u0103 numai dup\u0103 ce a fost furnizat\u0103 documenta\u021bia privind aceste costuri. Toate costurile suplimentare trebuie s\u0103 fie aprobate \u00een prealabil de c\u0103tre cump\u0103r\u0103tor. Plata costurilor suplimentare se efectueaz\u0103 la prezentarea documentelor justificative.<\/td>\n3.3.      The custom clearance, fee for overweight and increased because of it transit due, convoy, fee for oversize, additional procedures, letters of guarantee and etc. connected with the cargo clearance are The Customer\u2019s obligation and are to be paid in addition to the coast stated in the freight Contract-Application only after the documentary confirmation of such charges. All additional charges should be preliminary approved by the Customer. The Payment of additional charges will be effected after the receipt of confirming documents.<\/td>\n<\/tr>\n
3.4.Plata \u00een temeiul prezentului contract se efectueaz\u0103 pe baza facturii transportatorului, cu prezentarea originalelor sau a unei copii a CMR, a declara\u021biei de lucr\u0103ri efectuate, \u00een termen de 10 (zece) zile lucr\u0103toare de la livrarea corespunz\u0103toare (la timp, nedeteriorat\u0103) a m\u0103rfii c\u0103tre destinatar. Documentele men\u021bionate mai sus trebuie s\u0103 fie prezentate \u00een original \u00een termen de 5 zile bancare de la \u00eencheierea transportului.<\/td>\n3.4.      Payment under the present Contract is effected on the basis of the Forwarder\u2019s account with granting originals CMR, the certificate of the executed work, the invoice, the account within 10 (ten) working days from the moment of appropriate delivery (in time, without damages) a cargo to Consignee. The above-stated documents should be submitted within 5 bank days from the moment of the termination of transportation.<\/td>\n<\/tr>\n

4.   R\u0102SPUNDEREA P\u0102R\u021aILOR<\/b><\/p>\n<\/td>\n

\n

4.   RESPONSIBILITY OF THE PARTIES<\/b><\/p>\n<\/td>\n<\/tr>\n

4.1.\u00cen cazul \u00eent\u00e2rzierii \u00een livrarea bunurilor, precum \u0219i \u00een cazul nerespect\u0103rii \u0219i\/sau \u00eent\u00e2rzierii livr\u0103rii vehiculului \u00een termenul convenit de p\u0103r\u021bi sau \u00een cazul livr\u0103rii unui vehicul care nu \u00eendepline\u0219te condi\u021biile de transport \u0219i bunurile transportate, inclusiv standardele sanitare, tehnice etc., transportatorul va pl\u0103ti clientului o amend\u0103 pentru fiecare vehicul \u00een valoare de 100 (o sut\u0103) EUR pentru fiecare zi \u00eenceput\u0103. \u00cen scopul calcul\u0103rii r\u0103spunderii pentru \u00eenc\u0103lcarea termenului de \u00eenc\u0103rcare a vehiculului sau a termenului de livrare a m\u0103rfurilor la destina\u021bie, sosirea vehiculului pentru \u00eenc\u0103rcarea m\u0103rfurilor sau livrarea m\u0103rfurilor la destina\u021bie dup\u0103 ora 12:00 a datei convenite se consider\u0103 ca neprezentare la ora convenit\u0103.<\/td>\n4.1.      In case of a delay in delivery or the vehicle fails to arrive at all or at time agreed by the Parties or  the vehicle does not meet the cargo requirements and transportation conditions including sanitary, technical, etc. norms, the Forwarder pays to the Customer the penalty for each vehicle at a rate of 100 euro (one hundred euro) for each started day. Vehicle feed for loading, or time of goods delivery to destination (arrival of a vehicle) 12:00 hours after the agreed date are considered to be as a non-arrival in the agreed period.<\/td>\n<\/tr>\n
4.2.            Transportatorul este responsabil pentru siguran\u021ba m\u0103rfurilor. \u00cen caz de pierdere sau de deteriorare a \u00eenc\u0103rc\u0103turii, transportatorul pl\u0103te\u0219te clientului valoarea \u00eenc\u0103rc\u0103turii pierdute sau costul repara\u021biilor de \u00eenlocuire.<\/td>\n4.2.The Forwarder is responsible for the safety of the cargo. In case of loss of the cargo or its damage the Forwarder pays to the Customer the cost of the lost cargo or cost of the recovery repair.<\/td>\n<\/tr>\n
4.3.      \u00cen caz de \u00eent\u00e2rziere la plata \u00een temeiul prezentului contract, Clientul va pl\u0103ti transportatorului o amend\u0103 de 0,5% din suma nepl\u0103tit\u0103 pentru fiecare zi de \u00eent\u00e2rziere.<\/td>\n4.3.In case of delay in payment  under the present Contract the Customer pays to the Forwarder the penalty at a rate of 0,5 % from unpaid sum per every day of the delay.<\/td>\n<\/tr>\n
4.4.            Nedepunerea sau depunerea cu \u00eent\u00e2rziere (la  dup\u0103 25  Transportatorul r\u0103spunde fa\u021b\u0103 de Client cu valoarea penalit\u0103\u021bilor aplicate Clientului sub forma unui original sau a unor copii certificate corespunz\u0103tor (cu \u0219tampila \u0219i semn\u0103tura Directorului General al Transportatorului), \u00een cazul \u00een care aceasta nu este furnizat\u0103 \u00een termen de zile lucr\u0103toare dup\u0103 fiecare transport \u00een parte) a documentelor de transport executate corespunz\u0103tor transportului care a efectuat transportul, precum \u0219i a documentelor contabile primare (facturi, chitan\u021be, certificate de lucr\u0103ri executate) a\u0219a cum sunt stabilite de legisla\u021bie.<\/td>\n4.4.Should properly issued transport documents corresponding to transport carrying out the shipment are not submitted in time or not submitted at all (within 25 working days after performance of each concrete shipment) as well as the documents of the primary accounting report (accounts, invoices, certificates of the executed works) according to the sample of established by the legislation in the form of the original or properly certified copies (with a seal and the signature General director of the Forwarder), the Forwarder is responsible before the Customer at the  rate of the penalties  imposed on the Customer by the government if the activity of the latest is checked due to the absence of the above mentioned documents.<\/td>\n<\/tr>\n

5.         FOR\u021aA – MAJOR<\/b><\/p>\n<\/td>\n

\n

5.         FORCE <\/b>– <\/b>MAJEURE<\/b><\/p>\n<\/td>\n<\/tr>\n

5.1.      Niciuna dintre p\u0103r\u021bi nu este r\u0103spunz\u0103toare pentru neexecutarea total\u0103 sau par\u021bial\u0103 a obliga\u021biilor care decurg din prezentul acord, \u00een cazul \u00een care aceast\u0103 neexecutare se datoreaz\u0103 unui caz de for\u021b\u0103 major\u0103.<\/td>\n5.1.      Any of the parties will be released from their responsibility for partial or complete non-execution of their liabilities under the present Contract should this non-execution be caused by the circumstances of force-major.<\/td>\n<\/tr>\n
5.2.      \u00cen caz de for\u021b\u0103 major\u0103, termenul de \u00eendeplinire a obliga\u021biilor care decurg din prezentul contract se am\u00e2n\u0103 pe durata acestor circumstan\u021be. \u00cen cazul \u00een care nu este posibil\u0103 \u00eendeplinirea obliga\u021biilor \u00een termen de 60 de zile, partea ale c\u0103rei interese nu au fost satisf\u0103cute are dreptul de a rezilia contractul \u00een modul stabilit \u00een prezentul contract pentru rezilierea unilateral\u0103.<\/td>\n5.2.In case of force-major circumstances, the time of the execution of the obligations under the present Contract is to be extended for a period equal to that during which such circumstances will remain in force. Should the obligations can not be fulfilled within 60 days the Party that interests are not observed shall have the right to terminate the Contract according to the order stated by the present Contract in relation to the unilateral termination.<\/td>\n<\/tr>\n
5.3.      O parte care se afl\u0103 \u00een imposibilitatea de a-\u0219i \u00eendeplini obliga\u021biile din motive de for\u021b\u0103 major\u0103 trebuie s\u0103 informeze imediat cealalt\u0103 parte cu privire la \u00eenceputul \u0219i la \u00eencetarea acestor circumstan\u021be, \u00een termen de cel mult 7 zile de la intrarea \u00een vigoare a circumstan\u021belor respective. \u00cen cazul unei \u00eent\u00e2rzieri \u00een notificarea cazului de for\u021b\u0103 major\u0103, partea \u00een cauz\u0103 nu va fi exonerat\u0103 de obliga\u021biile care \u00eei revin din cauza circumstan\u021belor men\u021bionate mai sus.<\/td>\n5.3.The Party which is unable to fulfill its obligations under this Contract owing to the circumstances is to immediately inform the other Party of the occurrence and cessation of the above circumstances no later than 7 days from their beginning. Should the notification of force-majeure circumstances is delayed the relevant Party will not be released from their obligations due to the above stated circumstances.<\/td>\n<\/tr>\n

6.         LEGISLA\u021aIE, SOLU\u021aIONAREA LITIGIILOR, INSTAN\u021aE<\/b><\/p>\n<\/td>\n

    1. \u00cen timpul execut\u0103rii contractului, p\u0103r\u021bile ac\u021bioneaz\u0103 \u00een conformitate cu Conven\u021bia CMR, TIR, cu alte acte oficiale ale acordurilor, cu regulamentele de transport, cu prezentul tratat, cu actele adi\u021bionale \u0219i amendamentele la acestea \u0219i cu legisla\u021bia Republicii Moldova.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<\/td>\n

 <\/b><\/p>\n

      \n
    1. During the execution of Contract the Parties shall act according to Convention KDPG, TIR, other official instruments, agreements, transport rules, the present Contract, Addendums and amendments to the present Contract, and legislation of the Moldova.<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n<\/td>\n<\/tr>\n
6.2.Orice ne\u00een\u021belegeri, litigii \u0219i revendic\u0103ri care apar \u0219i sunt legate de executarea prezentului acord, de rezilierea sau de invaliditatea acestuia se solu\u021bioneaz\u0103 prin negocieri sau sunt solu\u021bionate de c\u0103tre p\u0103r\u021bi \u00een cursul negocierilor. \u00cen cazul \u00een care litigiile de mai sus nu pot fi solu\u021bionate prin negocieri, acestea vor fi solu\u021bionate de Curtea de Arbitraj Comercial Interna\u021bional de pe l\u00e2ng\u0103 Camera de Comer\u021b \u0219i Industrie a Federa\u021biei Ruse, \u00een conformitate cu legisla\u021bia \u00een vigoare a Federa\u021biei Ruse Decizia luat\u0103 de Curtea de Arbitraj este definitiv\u0103 \u0219i executorie pentru p\u0103r\u021bi.<\/td>\n6.2. Any disagreements, disputes and differences which may arise out of or in connection with the present Contract, its termination and invalidity will be settled by negotiations between the Parties. If the Parties do not come to an agreement by negotiations the matter is to be submitted for settlement in the International commercial Arbitration Court at the RF Chamber of Commerce and Industry in compliance with the existing legislation of the Russian Federation. The decision made by Arbitration Court is final and binding to both Parties.<\/td>\n<\/tr>\n

7.         DURATA ACORDULUI<\/b><\/p>\n<\/td>\n

7.         CONTRACT VALIDITY<\/b><\/p>\n<\/td>\n<\/tr>\n

7.1.      Contractul intr\u0103 \u00een vigoare la semnare \u0219i este valabil un an calendaristic. Cu excep\u021bia cazului \u00een care una dintre p\u0103r\u021bi notific\u0103 \u00een scris celeilalte p\u0103r\u021bi, cu o lun\u0103 \u00eenainte de expirarea perioadei contractuale, c\u0103 inten\u021bioneaz\u0103 s\u0103 rezilieze contractul sau s\u0103 \u00eel prelungeasc\u0103 \u00een alte condi\u021bii, contractul se consider\u0103 re\u00eennoit pentru un an \u00een acelea\u0219i condi\u021bii, cu re\u00eennoiri ulterioare \u00een acela\u0219i mod.<\/td>\n7.1.      The Contract comes into force since the moment of its signing and will be valid within 1 calendar year. If neither of the Parties within 1 month before the expiration of the Contract validity  does not inform in the written form the other party about their  intention to cancel the Contract or prolong it  on the other terms, the Contract is to be considered extended for 1 year on the same terms with further prolongation in the equal order.<\/td>\n<\/tr>\n
7.2.      Oricare dintre p\u0103r\u021bi poate denun\u021ba prezentul acord printr-o notificare scris\u0103 adresat\u0103 celeilalte p\u0103r\u021bi cu treizeci (30) de zile calendaristice \u00eenainte de denun\u021bare. Toate obliga\u021biile asumate de p\u0103r\u021bi \u00eenainte de reziliere sunt \u00eendeplinite.<\/td>\n7.2.      Parties have the right to cancel the present Contract advising the other party in the written form 30 calendar days before the cancellation.

8.1.      Transportatorul protejeaz\u0103 interesele Clientului prin neutralitate strict\u0103 \u0219i prin nedivulgarea de informa\u021bii privind clien\u021bii Clientului, prin livrarea la timp a m\u0103rfurilor. Transportatorul va refuza categoric clien\u021bii Clientului \u00een prestarea direct\u0103 a serviciilor de expediere a m\u0103rfurilor pentru transportul rutier \u0219i alte mijloace de transport, \u00een caz contrar va fi responsabil pentru 20% din toate sumele de transport pl\u0103tite de Client \u00een favoarea Transportatorului pentru \u00eentreaga perioad\u0103 de lucru cu acesta. \u00cen plus, \u00een cazul \u00eencet\u0103rii rela\u021biilor dintre p\u0103r\u021bi (indiferent de motive), transportatorul este obligat s\u0103 refuze furnizarea de servicii de expediere c\u0103tre clien\u021bii clientului \u00een termen de trei luni de la \u00eencetarea rela\u021biilor.<\/td>\n\n

8.1.      The Forwarder shall protect Customer\u2019s interests by strict neutrality and non-disclosure of information concerning Customer\u2019s clients and by timely deliveries of cargo. The Forwarder is obliged in a strict manner refuse to directly provide the Customer\u2019s clients with forwarding service by truck or by other kind of transport; otherwise his responsibility will be  20% from  the total amount of invoices for freight charges, paid by the Customer to the Forwarder during all period  of  their cooperation. Furthermore in case of finishing the cooperation between the Parties (irrespective of reasons), the Forwarder shall refuse to directly provide the Customer\u2019s clients with forwarding service within 3 months from the date of finishing their cooperation.<\/td>\n<\/tr>\n

8.2.      P\u0103r\u021bile au convenit s\u0103 informeze reciproc conducerea celeilalte p\u0103r\u021bi cu privire la toate cererile de angajare \u0219i de transfer ale angaja\u021bilor unei p\u0103r\u021bi la cealalt\u0103 parte, rezolv\u00e2nd \u00een comun toate problemele legate de transferul angaja\u021bilor de la o parte la cealalt\u0103. \u00een cazul demisiei sau al concedierii angaja\u021bilor uneia dintre p\u0103r\u021bi, s\u0103 nu angajeze astfel de angaja\u021bi pe o perioad\u0103 de un an de la data demisiei sau a concedierii lor.<\/td>\n8.2.      The Parties agree to inform each other management about the all orders of employers of the one Party with requests to get job and start to work as employer of another Party and settle all questions in connection with this transferring cooperatively. In case of independent retirement of the employers from one of the Parties the other Party shall not hire these employers within one year from the date of their retirement.<\/td>\n<\/tr>\n

8.4.P\u0103r\u021bile recunosc faptul c\u0103 documentele semnate de c\u0103tre persoanele autorizate ale p\u0103r\u021bilor \u0219i transmise prin fax, \u00eempreun\u0103 cu transmiterea ulterioar\u0103 c\u0103tre cealalt\u0103 parte a documentelor originale transmise anterior prin fax, au for\u021b\u0103 juridic\u0103 suficient\u0103.<\/td>\n8.4.      The Parties acknowledge the sufficient legal force of the documents signed by the authorized persons of the Parties and sent by fax with further transmission of the original copies previously sent by fax to each other.<\/td>\n<\/tr>\n
8.5.Contractul este redactat \u00een dou\u0103 limbi – rus\u0103 \u0219i englez\u0103, \u00een dou\u0103 exemplare, fiecare dintre acestea fiind un original, c\u00e2te unul pentru fiecare parte. \u00cen cazul unor diferen\u021be de limb\u0103, prevaleaz\u0103 versiunea \u00een limba rus\u0103. Toate modific\u0103rile \u0219i complet\u0103rile la prezentul acord se \u00eentocmesc \u00een dou\u0103 exemplare, c\u00e2te unul pentru fiecare parte.<\/td>\n8.5.      The present Contract is made up in two languages \u2013 Russian and English in 2 copies each of them is original, one for each Party. In case of languages discrepancies the Russian version of the Contract shall prevail. All additions and amendments to the Contract shall be made up in two copies, one for each Party.<\/td>\n<\/tr>\n
